Terms And Conditions

1. Authorized Reseller / Dealer

LOHITECK: as a Reseller, Dealer, implementation partner, and service provider for products and services offered by third-party IT manufacturers, publishers, and vendors.

2. Product Availability

All products, licenses, subscriptions, and services are subject to availability from the respective manufacturers, distributors, or service providers.

 

3. Pricing Validity

Quoted prices are valid only for the period specified in the quotation and may change due to vendor price revisions, foreign exchange fluctuations, taxes, duties, or regulatory changes.

 

4. Order Acceptance

Orders shall become binding only upon LOHITECK's written acceptance or order confirmation.

 

5. Advance Payment Requirement

Software licenses, subscriptions, cloud services, cybersecurity products, and special-order items may require full advance payment before procurement. If payment is not made within the agreed period, a late payment charge of 24% per annum will apply.

 

6. Non-Cancellable Orders

Orders for software licenses, subscriptions, cloud services, customized products, and specially procured items are non-cancellable and non-refundable once placed with the vendor.

 

7. Vendor Terms Applicability

Customers shall comply with the applicable End User License Agreement (EULA), subscription terms, service terms, and policies of the respective vendor or manufacturer.

 

8. Product Specifications

Product specifications, features, performance, and compatibility are determined by the manufacturer or publisher, and LOHITECK relies upon information provided by such vendors.

 

9. Delivery Timelines

Any delivery schedules communicated by LOHITECK are estimates only and are subject to vendor, logistics, customs, or regulatory delays.

 

10. Transfer of Risk

Risk of loss or damage to hardware products shall pass to the customer upon delivery to the designated location or carrier.

 

11. Warranty Coverage

All warranties for third-party products are limited to the warranties provided by the respective manufacturer, publisher, or service provider.

 

12. No Independent Product Warranty

LOHITECK does not provide any separate warranty for third-party products unless expressly stated in writing.

 

13. Cybersecurity Limitation

Cybersecurity products and services are designed to mitigate risk and do not guarantee complete protection against cyber threats, attacks, malware, ransomware, or unauthorized access.

 

14. Third-Party Service Interruptions

LOHITECK shall not be liable for interruptions, outages, suspension, degradation, or discontinuation of services caused by third-party vendors, cloud providers, ISPs, or software publishers.

 

15. License and Subscription Renewals

Customers are responsible for the timely renewal of software licenses, subscriptions, support contracts, and maintenance agreements unless otherwise agreed in writing.

 

16. Limitation of Liability

LOHITECK's total liability arising from any transaction shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.

 

17. Exclusion of Indirect Damages

LOHITECK shall not be liable for any indirect, incidental, consequential, special, punitive, or business-related losses, including loss of profits, revenue, goodwill, or data.

 

18. Payment Default

LOHITECK reserves the right to suspend deliveries, support services, license activations, subscription renewals, and ongoing engagements in the event of payment default.

 

19. Compliance with Laws

Customers shall use all products, software, and services in compliance with applicable laws, regulations, export controls, licensing restrictions, and cybersecurity requirements.

 

20. Governing Law and Dispute Resolution

All transactions shall be governed by the laws of India. Any disputes shall first be resolved amicably, failing which they shall be referred to arbitration in Hubballi, Karnataka, and subject to the exclusive jurisdiction of the courts at Hubballi. Terms and Conditions mentioned in this quote will take precedence over the terms and conditions in the Buyer’s Purchase Order.
